Terms of Service

Welcome to HYPRMKT. These Terms of Service ("Terms") govern your use of the HYPRMKT platform at hyprmkt.com and the HYPRMKT mobile applications (collectively, the "Platform"), operated by HYPRMKT LLC ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Platform. By creating an account, you represent that you are at least 18 years of age and that the information you provide is accurate.

2. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide a valid email address or phone number and verify it before creating listings or showrooms.
• You may not create accounts using disposable or temporary email addresses.
• You may not create multiple accounts to circumvent platform limits or restrictions.
• You may delete your account at any time from Settings > Account > Delete Account.

3. The HYPRMKT Marketplace

HYPRMKT is a platform that connects buyers and sellers. We provide the technology infrastructure (showrooms, listings, messaging, discovery) but we are not a party to any transaction between users.

• We do not guarantee the quality, safety, legality, or accuracy of any listing.
• We do not guarantee that a transaction will be completed.
• Buyers and sellers are solely responsible for the terms of their transactions.
• We do not handle shipping, returns, or refunds between users (except for HYPRMKT premium subscription refunds).

4. Listings

4.1 Creating Listings

• You may only list items that you own or are authorized to sell.
• Listing descriptions, photos, and prices must be accurate and not misleading.
• You must categorize listings appropriately.
• Listings expire after 30 days and may be renewed.
• Free accounts may create a limited number of active listings.

4.2 Prohibited Items

You may not list:

• Stolen property or items you do not have the right to sell.
• Illegal drugs, controlled substances, or drug paraphernalia.
• Weapons, firearms, ammunition, or explosives (where prohibited by local law).
• Counterfeit or trademark-infringing goods.
• Hazardous materials.
• Live animals (unless permitted by local regulations and platform guidelines).
• Human remains or body parts.
• Items that promote hate, violence, or discrimination.
• Any item prohibited by applicable law in the seller's or buyer's jurisdiction.

5. Showrooms

• Free showrooms are assigned a numeric code as their URL identifier and are limited to 2 per user.
• Premium showrooms allow a custom URL handle (subdomain) and require an active subscription.
• Showroom names and content must not impersonate other businesses, brands, or individuals.
• We reserve the right to reclaim or reassign showroom URLs that infringe trademarks, are misleading, or violate these Terms.
• Premium subscriptions are billed through Stripe. Cancellation stops renewal but access continues until the end of the billing period.

6. User Content

"User Content" includes listings, showroom configurations, photos, videos, messages, reviews, and any other content you submit to the Platform.

• You retain ownership of your User Content.
• By posting User Content, you grant HYPRMKT a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform.
• You represent that you have all necessary rights to post your User Content and that it does not infringe any third-party rights.
• We may use AI to analyze your listing photos and text for classification, translation, and search optimization purposes.
• We may remove User Content that violates these Terms without notice.

7. Messaging and Communication

• The messaging system is for legitimate marketplace communication between buyers and sellers.
• You may not use messaging for spam, harassment, phishing, or solicitation unrelated to marketplace transactions.
• You may not share or request personal financial information (bank accounts, card numbers) through messages.
• We may monitor messages for fraud prevention and safety purposes.

8. SMS Program Terms

Program name: HYPRMKT SMS Verification

Program description: HYPRMKT LLC operates an SMS-based account verification program for HYPRMKT (hyprmkt.com) and HYPRMKT Agent Connect (agent.hyprmkt.com). The program sends one-time verification codes (OTP) to verify phone numbers during signup, profile changes, listing publication, and agent sign-in.

Message types: Account verification codes, sign-in verification codes. No marketing or promotional content.

Data sharing: No mobile information will be shared with or sold to third parties or affiliates for marketing or promotional purposes.

Message frequency: Messages are sent only when the user initiates an action that requires verification (entering a phone number, requesting a sign-in code, or publishing a listing). Frequency is limited to a maximum of 3 codes per phone number per hour.

Message and data rates: Standard message and data rates may apply, depending on your mobile carrier plan. HYPRMKT does not charge for SMS messages, but your carrier may.

Support: For help with the SMS program, contact admin@hyprmkt.com.

Opt-out: Reply STOP to any message to opt out of the SMS program. You will receive one final confirmation message and no further SMS will be sent to your number until you opt back in. You may also remove your phone number from your account in profile settings, which will prevent further SMS sends.

Help: Reply HELP to any message for support information.

Eligibility: The SMS program is available to users who have provided a valid phone number through HYPRMKT or HYPRMKT Agent Connect account flows.

9. Location and Geo-Fencing

• Sellers must provide an accurate location for their listings.
• We use geo-fencing to verify that sellers are within a reasonable distance of their listed location.
• Buyers may be shown approximate seller locations; exact addresses are not disclosed.
• Misrepresenting your location to circumvent geo-fencing is a violation of these Terms.

10. Payments and Fees

• Listing creation: free for basic listings.
• Premium showroom subscriptions: charged monthly or annually through Stripe.
• Showroom URL changes: the first change is free; subsequent changes may incur a fee after a cooldown period.
• All fees are non-refundable unless otherwise stated or required by applicable law.
• We reserve the right to change pricing with reasonable notice.

11. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose.
• Post false, misleading, or deceptive content.
• Harass, threaten, or abuse other users.
• Scrape, crawl, or use automated tools to extract data from the Platform without permission.
• Attempt to bypass security measures, rate limits, or access controls.
• Interfere with the proper operation of the Platform.
• Create listings or showrooms for the purpose of spam, phishing, or advertising unrelated services.
• Use the Platform to launder money or facilitate fraudulent transactions.

12. Intellectual Property

• The HYPRMKT name, logo, and brand elements are our trademarks. You may not use them without permission.
• The Platform software, design, and technology are our proprietary property.
• If you believe content on the Platform infringes your intellectual property rights, contact us with a detailed notice.

13. Account Suspension and Termination

• We may suspend or terminate your account if you violate these Terms.
• We may remove listings or showrooms that violate these Terms or applicable law.
• Upon termination, your right to use the Platform ceases immediately.
• You may appeal account actions by contacting us.

14. Disclaimers

• The Platform is provided "as is" and "as available" without warranties of any kind.
• We do not warrant that the Platform will be uninterrupted, error-free, or secure.
• We do not endorse or guarantee any user, listing, showroom, or transaction.
• AI-generated classifications, translations, and suggestions are approximate and may contain errors.

15. Limitation of Liability

To the maximum extent permitted by law, HYPRMKT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to: loss of profits, data, or goodwill; personal injury or property damage resulting from transactions between users; unauthorized access to your account; or errors in AI-generated content.

16. Indemnification

You agree to indemnify and hold HYPRMKT harmless from any claims, damages, or expenses arising from your use of the Platform, your User Content, your violation of these Terms, or your violation of any third-party rights.

17. Dispute Resolution

• Disputes between buyers and sellers should be resolved directly between the parties.
• For disputes with HYPRMKT, we encourage you to contact us first to seek an informal resolution.
• These Terms are governed by the laws of the United States. Any formal disputes shall be resolved in the competent courts of the United States.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
